Terms of Service

These Terms of Service (“Terms”) govern your use of coniferlabs.com and the AI-powered applications, integrations, and services provided by Conifer Labs LLC (“Conifer Labs,” “we,” “us,” “our”). By using our website or authorizing a Conifer Labs application to connect to a third-party platform on your behalf, you agree to these Terms.

1. Services

Conifer Labs designs, builds, and operates AI-powered software integrations for its customers, including integrations that connect to third-party business platforms such as QuickBooks Online. The specific scope, functionality, and deliverables of any engagement may be defined in a separate written agreement (such as a Statement of Work) between Conifer Labs and the customer; these Terms apply in addition to, and do not replace, any such agreement.

2. Eligibility and accounts

• You must be at least 18 years old and have legal authority to enter into contracts on behalf of any organization you represent.
• You are responsible for the accuracy of the information you provide and for maintaining the security of any credentials you use with our services.

3. Authorized use

3.1 License

Subject to these Terms and any applicable agreement, Conifer Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes.

3.2 Restrictions

You agree not to:

• Use our services in violation of any law or regulation.
• Reverse-engineer, decompile, or attempt to extract the source code of our software.
• Interfere with or disrupt the integrity or performance of our services.
• Attempt to gain unauthorized access to our systems or to data belonging to other users.
• Use our services to transmit malware, spam, or other harmful content.
• Use our services to build a competing product.

4. Third-party platforms

Our services may integrate with third-party platforms (such as QuickBooks Online) that have their own terms and privacy practices. You are responsible for complying with the terms of any third-party platform you authorize us to access on your behalf, and you represent that you have the authority to grant such access.

Conifer Labs is not responsible for the availability, accuracy, or behavior of third-party platforms. Changes to a third-party platform's API or policies may affect our services at any time.

5. Customer data

You retain all rights to any data you provide to us or that we access on your behalf through authorized integrations (“Customer Data”). You grant Conifer Labs a limited license to process Customer Data solely as necessary to provide the services you have requested. Our handling of Customer Data is described in our Privacy Policy.

6. Intellectual property

All intellectual property rights in our website, software, and services (other than Customer Data) are owned by Conifer Labs or our licensors. No rights are granted to you except those expressly set out in these Terms or a separate agreement.

7. Fees and payment

Where fees apply, they are set out in the applicable written agreement. Unless otherwise stated, fees are non-refundable.

8. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, CONIFER LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated outputs may contain errors or inaccuracies. You are responsible for reviewing outputs before relying on them, particularly for financial, legal, medical, or other consequential decisions. Any system we build that produces actions on your behalf is intended to be reviewed and approved by you before those actions are released.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CONIFER LABS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO CONIFER LABS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

10. Indemnification

You agree to indemnify and hold Conifer Labs harmless from any claims, damages, or expenses arising out of (a) your use of our services in violation of these Terms, (b) your violation of any law or third-party right, or (c) Customer Data you provide to us.

11. Termination

You may stop using our services at any time. We may suspend or terminate your access if you violate these Terms or if continued provision of the services is not commercially or legally feasible. On termination, any OAuth authorizations associated with your account will be revoked and associated credentials deleted.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Effective date” above and, where appropriate, by additional notice. Continued use of the services after an update constitutes acceptance of the updated Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Washington , without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Washington state.
